Choosing the right business structure is one of the first — and most important — decisions you make. The two most popular options for growing businesses in India are the Private Limited Company and the Limited Liability Partnership (LLP).

What they have in common

  • Both are separate legal entities, distinct from their owners.
  • Both offer limited liability — your personal assets are generally protected from business debts.
  • Both are registered with the Ministry of Corporate Affairs (MCA) and have perpetual succession.

Private Limited Company

Governed by the Companies Act, 2013. It needs a minimum of two directors and two shareholders (up to 200 members).

  • Best for: businesses that plan to raise investment, issue shares or scale quickly.
  • Investors and banks are familiar with the structure, and ownership is easy to transfer through shares.
  • Higher compliance — annual statutory audit, board meetings and annual filings with the ROC.

Limited Liability Partnership (LLP)

Governed by the LLP Act, 2008. It needs a minimum of two partners, with at least two designated partners — one of whom must be resident in India.

  • Best for: professional firms, consultancies and family businesses that want flexibility.
  • Lower compliance cost; audit is required only above prescribed turnover or contribution limits.
  • Not suited to equity funding — investors usually prefer companies.

Quick comparison

  • Raising funds: Pvt. Ltd. is easier.
  • Compliance cost: LLP is lower.
  • Ownership transfer: Pvt. Ltd. is simpler (shares).
  • Internal flexibility: LLP is higher (governed by the LLP agreement).

Tip: Think about where your business will be in 3–5 years. If you plan to bring in investors, a Private Limited Company usually saves you a conversion later.
